About the role: The
Company Secretary will be a key member of SumUp's
Global Legal team, ensuring that we fulfill our corporate governance requirements throughout all group entities, either as the company secretary for the entity or by keeping oversight over the work done by those carrying out company secretary functions for local entities. This is a full-time role, reporting to the Associate General (AGC) Counsel - Privacy & Governance.
The role is available in the following locations: (Ireland - Dublin/remote, UK - London/remote, Germany - Berlin/remote, Lithuania - Vilnius/remote, Spain - Barcelona/remote)
What you'll do: - You will act as company secretary for key European entities in SumUp group and support the Ireland and UK Company Secretary.
- You will implement and maintain SumUp's entity management software and ensure company information is up-to-date and all documents relating to each company are uploaded there;
- You will ensure that SumUppers carrying out company secretary functions locally are being thorough (through the overview provided by the entity management software)
- You will keep up-to-date and monitor changes in company law in relevant jurisdictions, and take action as appropriate. Implement any new requirements brought to the Privacy & Governance General Counsel's attention by our external agents;
- You will ensure your local counterparts keep up-to-date on changes in company law in their geographical area and take action as appropriate;
- You will be in charge of organising all Board meetings for key European entities; Develop agendas and ensure all board reports are made available to the Board before meetings; Attend meetings and take minutes; Administer and document resolutions;
- You will provide similar as the above support to Nominations Committees;
- You will handle preparation of required resolutions and submissions to company registries and assist global colleagues on resolutions and filings for foreign entities;
- You will ensure financial statements and annual returns/compliance statements are filed in a timely manner, in relevant registries and local company secretary functions follow the same standard (through entity management system);
- You will manage registration of new companies and strike-off/dissolution of non-trading entities;
- You will ensure provision of company records as part of the annual audits;
- You will manage POAs through SumUp's entity management software;
- You will also assist with inbound KYC responses.
You'll be great for this role if: - You have extensive company secretary experience (at least 2-3 years);
- You know how to deal with complex, global company structures;
- You have experience managing corporate governance/entity management software;
- You also have great legal writing skills and strong communication skills;
- You come with experience supporting multiple stakeholders across diverse geographical jurisdictions;
- Nice to have: Experience implementing corporate governance/entity management software
- You as an individual are proactive, inquisitive, focused on problem solving
- You are of sound judgement, have a highly flexible and organised approach to your work.
