BorgWarner Inc. is a leading Tier 1 automotive supplier providing parts to car manufacturers across the spectrum of internal combustion, hybrid and electric engines and vehicles.
We are currently seeking a legal counsel (m/f/d) to join the European Legal Department of BorgWarner Inc. This position is based in Frankfurt am Main, Germany and will report to the European General Counsel.
In this role, the Corporate Counsel (m/f/d) serves as a business partner and legal counselor to the operational leaders and employees of 4 separate and diverse business units with over $4 billion in annual revenue, involving over 12,000 employees, located at 23 different facilities in 11 European countries.
The successful candidate (m/f/d) will have broad legal experience and be business savvy – i.e. someone who can put legal advice and analysis in the context of real world challenges and assist BorgWarner personnel in finding prompt and practical solutions to the problems and issues presented.
Roles and Responsibilities:
- Negotiate, draft and review various types of complex contracts and agreements, including customer and vendor commercial supply/purchase contracts.
- Provide day-to-day legal analysis and advice on diverse operational legal and policy issues, including corporate governance, warranty matters, legal and regulatory compliance, mergers & acquisitions, and other various legal matters.
- Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings or dispute resolutions.
- Anticipate and guard against legal and regulatory risks facing the Company and develop and recommend policies and positions to proactively mitigate such risks.
- Where necessary, travel regionally to provide support and interface with European clients and external counsels.
- Cultivate and maintain channels of communication with key legal and business affairs personnel.
- Support and work in cooperation with the lawyers of the other regions of BorgWarner.
- Support the execution of the Company’s key global and regional strategic objectives.
- Assist in implementation of the Company’s compliance.
- Create and deliver trainings to internal clients.
- Other duties as assigned and in accordance with prior experience.
Qualifications and Competencies:
- 5 or more years of post-qualification experience in a corporate law department and/or in a leading private law firm.
- Completion of a legal degree from a top-tier law school.
- License to practice law in Germany.
- License to practice law in another jurisdiction within the European Union and strong knowledge of European legislation and policy would be a strong advantage.
- Fluency and ability to conduct business in the German and English language.
- Demonstrated application of business judgment and a global perspective in solving complex legal problems with prompt and concise guidance on a range of alternative solutions.
- Desire to learn, coupled with a curiosity for uncovering innovative solutions to issues.
- Readiness to work under time pressure and take on responsibilities.
- Self-starter who is capable of independent function with minimal oversight, yet works well in a team atmosphere.
- Excellent organizational and client-service skills, with the ability and agility to multi-task and prioritize efforts to simultaneously meet multiple project deadlines and expectations.
- Strong interpersonal and communication capabilities.
- High level of ethics, values and personal integrity.
- Knowledge of the automotive industry is a plus but is not a requirement.
